Private Placement Offerings:
Bitwise offers a suite of index-based funds that aim to capture the most exciting opportunities in the crypto market today, including decentralized finance (DeFi), “blue-chip” NFT art and collectibles, and large-cap cryptocurrencies. We also offer a range of single-coin funds that seek to help investors gain exposure to crypto assets through traditional investment vehicles while minimizing administrative costs.

Shares of Bitwise private placement offerings are available to accredited investors or qualified purchasers only, and are offered and sold under the exemption to the Securities Act of 1933, as amended, provided by Rule 506(c) of Regulation D.

Active Strategies:

Separately Managed Accounts (SMAs):
With separately managed accounts, an investor directly owns all of the crypto assets in the account (unlike with a fund or other pooled investment vehicle). The crypto assets are held by a qualified custodian and can be easily monitored and reported on by financial advisors.

What are the management fees?

Our funds charge a “unified” or “unitary” management fee that includes custody charges for holding the fund’s assets charged by the custodian, and customary fees and expenses of the fund administrator and auditor. There is no performance fee. The management fee can range from 0.20% to 3.0%, depending on the fund.

Custody is a critical component of crypto asset management. Bitwise uses third-party custodians and continuously evaluates security developments to stay up-to-date with industry best practices. These custodians include Fidelity Digital Asset Services, Coinbase Custody Trust Company, Anchorage Digital Bank National Association, and Gemini.

When are Bitwise funds rebalanced?

Crypto is a fast-moving marketplace. To ensure we stay up to speed with changes in the crypto ecosystem, the Bitwise Crypto Indexes use specific guidelines around reconstitution events. The Bitwise funds that track these indexes are rebalanced the next business day following an index rebalance. How can I invest in Bitwise’s publicly traded offerings?

Bitwise’s publicly traded funds are available to all investors. You do not need to be an accredited investor to invest in these funds. The following funds trade on the NYSE Arca exchange:

AETH, BITC, BITQ, BPRO, BTOP, BWEB, and OWNB do not invest directly in crypto assets.

Bitwise SMA strategies are available to all investors on the Eaglebrook platform through their financial advisors. You do not need to be an accredited investor to invest in Bitwise SMAs. The SMA strategy must be accessed through a financial advisor who has been onboarded onto the Eaglebrook platform. Who is an accredited investor or qualified purchaser?

Accepted Answer

Generally, an individual accredited investor is:

any person who has had an income of more than $200,000 in each of the two most recent years and has a reasonable expectation of reaching the same level of income in the current year;
any person who, with that person’s spouse, had an income of more than $300,000 in each of the two most recent years and has a reasonable expectation of reaching the same level of income in the current year;
any person whose individual net worth, or joint net worth with the person’s spouse, exceeds $1,000,000 (excluding the value of the person’s primary residence); and
individuals who hold, in good standing, any of the following professional certifications and designations:
- Licensed General Securities Representative (Series 7);
- Licensed Investment Adviser Representative (Series 65); and
- Licensed Private Securities Offerings Representative (Series 82)

Banks, partnerships, corporations, nonprofits, and trusts may also be accredited investors. For example, the following entities are accredited investors:

any trust with total assets in excess of $5 million that is not formed for the purpose of acquiring shares of our offered products and where the purchase of any of our offered products is directed by a person who has sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of a prospective investment; and
any entity in which all of the equity owners are themselves accredited investors.

Generally, a qualified purchaser is an individual or company owned by close family members that holds at least $5 million in investments.

Are Bitwise funds IRA eligible?

Can I purchase shares in Bitwise funds with crypto assets I already own?

Yes, in-kind crypto contributions are possible for both our private funds and ETFs.

For private placements, the minimum investment is $1 million. Please reach out to the Investor Relations team at info@bitwiwerthghjukui.com for more information.

For ETFs, these transactions are handled directly through an approved Market Maker or Authorized Participant, rather than through Bitwise or Foreside Fund Services (which serves as the Distributor/Marketing Agent for our public funds). The typical minimum for these institutional-level trades is $10 million. If you’re interested, we would be happy to make the necessary introductions to these counterparties.
